1. Agreement to Terms

By accessing or using the services of Ord8, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Description

Ord8 provides custom AI agent development and deployment services for enterprise clients. Our services include:

• AI agent design and architecture
• System integration and deployment
• Workflow automation
• Ongoing support and optimization

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Grant necessary access to systems for integration
• Comply with all applicable laws and regulations
• Maintain confidentiality of access credentials
• Promptly report any security concerns

4. Intellectual Property

All intellectual property rights in our services, including but not limited to software, algorithms, documentation, and methodologies, remain the property of Ord8unless otherwise agreed in writing.

Client data and proprietary information remain the property of the client. We claim no ownership rights over client data processed through our services.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the business relationship. This obligation survives the termination of these Terms.

6. Data Processing

We process data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you consent to such processing and warrant that all data provided is accurate and that you have the necessary rights to share such data.

7. Service Level Agreement

Specific service levels, uptime guarantees, and support response times will be defined in individual service agreements. We strive to maintain high availability but do not guarantee uninterrupted service.

8. Payment Terms

Payment terms, including fees, billing cycles, and payment methods, will be specified in individual service agreements. Late payments may result in service suspension.

9. Limitation of Liability

To the maximum extent permitted by law, Ord8 shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold Ord8 harmless from any claims, losses, damages, liabilities, and expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate the service agreement with written notice as specified in the individual service agreement. Upon termination, access to services will be discontinued, and any outstanding fees become immediately due.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email or through our services. Continued use of our services after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
